Premier Diagnostic Health Services (PDH)

October 2011

Our Product:

PDH designs, builds, finances, and manages medical diagnostic imaging clinics, such as PET-CT and MRI facilities, in Canada and abroad.

From our “Concept Centre” in Burnaby, B.C. Canada, we offer Joint Venture Partnerships (JVs) to hospitals seeking to enhance their existing diagnostic facilities and expand  patient services.

We model our activities after our PDH joint venture MRI clinic at the No. 3 Military Police Hospital in Beijing, PRC, and our PET-CT cancer imaging clinic in our Burnaby head office.

We plan and implement the installation and the subsequent management of clinics by drawing on resident personnel and our Canadian head office. In addition, we provide expertise in identifying and securing appropriate financing. On completion of the JV clinic, we share the net revenues with our respective partners.

Our Market:

Our extensive history of exploring and assessing the advanced imaging market in China leads us to designate this market a priority. Yet our expertise is not limited to China. We will build on commercial successes in sales of medical devices and introductions of new clinical protocols in:

 Our teams:

We will establish organizations appropriate to each country in which we operate, staffed by experienced local personnel. To facilitate our current initiatives in China, PDH has two China teams. With extensive experience in diagnostic and medical businesses in PRC, they establish dialogue and planning between prospective hospitals and PDH.

Typically a team will consist of:

  •           A Team Leader / Project Manager
  •           A Marketing Group
  • Sales Engineers and Company Representatives assigned to specific tasks

All members of a team report to the Team Leader who in turn reports to our Executive Management Team.

Executive Management Team in Canada:

  •          Denis Tusar – Director, Chairman, President and CEO
  •          Kenneth Tolmie – Board Member and CFO
  •          Leonard Braunizer – Director of International Sales
  •          Geoffrey Waters – Board Member and Director of Operations
  •          Ross Greenwood - Board Member and policy advisor

 Our Methodology:

 The teams identify and evaluate candidate hospitals through a carefully defined process in which we establish;

  •  the hospital’s capability and objectives for meeting growing demands in
  •  PET-CT and MRI diagnostic procedures.
  •  that the JV is capable of meeting regulatory requirements.

This process of identification and assessment is preceded and then accompanied by an ongoing promotion, highlighting the advantages and virtues of JV diagnostic clinics both to the hospital and to the community the hospital is serving. We do this through ongoing meetings with the hospital and the local health authority, and through media seminars interacting with the local community.

Typically, the process involves the following:

  1.  Having established a clear case scenario with the hospital we move to jointly determine responsibilitie
  2. and objectives. A Memorandum of Understanding is signed as the foundation for detailed negotiations
  3. with a Joint Venture agreement as the intended objective.

Parallel to this we target local, national and international investors with the financial model.

We review and monitor the practical factors of the project in order to be in a position to meet regulatory requirements at all critical stages.

When all three factors are developed to our satisfaction, we begin the process of completing the Joint Venture Agreement with the hospital. Once that agreement is in place we proceed with its implementation.

Current Status and Near Term Projections:

We currently operate an MRI clinic as a Joint Venture with the No. 3 Military Police Hospital in Beijing, PRC. This facility was opened in October 2010 and has evolved from approx. 25 diagnostic scans that month, to 566 scans in July 2011. Plans are in effect to double the number of scans through staffing and operational changes.

Premier has recently (Aug - Oct., 2011) signed three significant MOUs in China; with the Jiling Heart Hospital in Chang Chun, the Jiangling General Hospital in Chungqing and the Dongyang Traditional Chinese Medicine Hospital in Jejiang Province. We are now in the process of advancing these agreements to full JV status and complete several more MOU's.
